"Agency," "we," "us," or "our" refers to Evolv Digital Marketing Agency."Client," "you," or "your" refers to any person or entity using our services."Services" refer to digital marketing solutions, including but not limited to Paid Ads, AI Appointment Setting, CRM, Automation, Reputation Management, SEO, and Website Development.
2. SERVICES & PAYMENT
Our marketing services operate on a performance-based model, meaning that you do not pay until we meet the agreed-upon lead generation results. Website development services require a one-time payment as outlined in the contract. Payments must be made in accordance with the terms specified in the signed agreement between both parties. Failure to make payments on time may result in service suspension or termination.
3. CLIENT RESPONSIBILITIES
You agree to provide accurate business information necessary to execute the services effectively. You will cooperate with our team, provide necessary access to platforms (e.g., Google Ads, Facebook Business Manager), and respond to communications in a timely manner. You acknowledge that while we generate leads and schedule their appointments, your team is responsible for closing sales.
4. RESULTS & GUARANTEES
For our marketing services, we guarantee a specific number of leads within 30 days before payment is required, as specified in your contract. While we aim for the highest possible return on investment, we do not guarantee specific sales or revenue outcomes. Website development services do not include any lead generation guarantees.
5. REFUNDS & CANCELLATION POLICY
If the guaranteed number of leads is not delivered within the agreed-upon timeframe, you will not be charged. Website development services are non-refundable once work has commenced. You may cancel recurring services with 7 days' written notice, as specified in your contract.
6. LIMITATION OF LIABILITY
We are not responsible for business performance, sales, or revenue fluctuations resulting from our marketing campaigns. We do not guarantee performance if external factors, platform policy changes, or client-side issues impact campaign results. In no event shall our liability exceed the amount paid for the specific service in question.
7. CONFIDENTIALITY
Both parties agree to maintain the confidentiality of any business, financial, or personal data shared throughout the engagement. We will not share your data with third parties except as necessary to execute our services (e.g., ad platforms, CRM software) or as required by law.
8. INTELLECTUAL PROPERTY
All content, ad creatives, and materials produced by our team remain the property of Evolv Digital Marketing Agency unless otherwise agreed in writing. Clients retain rights to their own business logos, branding, and assets provided to us.
9. TERMINATION
Either party may terminate the contract with 7 days' written notice. We reserve the right to terminate services immediately if a client engages in fraudulent activities, fails to make payments, or violates these Terms.
10. DISPUTE RESOLUTION
Any disputes shall first be attempted to be resolved through mediation. If mediation fails, disputes shall be governed by the laws of the United States and settled in a court of competent jurisdiction.
11. CHANGES TO TERMS
We reserve the right to update these Terms at any time. Clients will be notified of any major changes. Continued use of our services after changes take effect constitutes acceptance of the new Terms.
